It is the day that Western Province Rugby Football Union President Zelt Marais and Ebrahim Rasool, newly appointed Chairman of the board of Western Province Professional Rugby (Pty) Ltd – the commercial arm of WPRFU – finally come face-to-face with Marco V Masotti (the South African-born-and-bred American lawyer) and his consortium MVM Holdings.
At the heart of their get-together is the proposal that MVM obtains a controlling (51 percent) share of WPPR.
Marais and Rasool have both punted the meeting with Masotti as key to the possible approval of the deal.
The convocation in Cape Town will be when both parties must put their cards on the table.
After months of bull sessions that made most parliamentary debates look like a Sunday school picnic – with an abundance of prevarications and ambiguities thrown in for good measure – there will no longer be any place to hide.
Marais and Rasool can no longer hide behind nebulousness and obfuscation.

To quote Rasool: “We want it to be a decisive meeting – [a meeting] which says yea or nay.”
They will, by now, have all the documents they required.
In return, they should have provided the required corroboration of their status – including financials.
If they did not, it could be an uncomfortable meeting.

It will be hard for any investor/equity partner to get a deal across the line without knowing the real numbers.
For months now Marais has shifted the goalposts – delaying tactics that may well be because the WPRFU boss is having second thoughts.
On Friday he has to say ‘yea or nay’.
It has been clear – based on their public utterances – that Marais and Rasool do not want to hand over control of the company (WPPR) to MVM.
Given that Marais, through discarded former board member André van der Veen, has reached out to Masotti, the ball is in his court.
Of course, WPPR (and with it the brands – Stormers and Western Province) is an attractive trademark on the international sporting stage.
However, the equity partner will only be interested if he can control who has access to the proverbial ‘cookie jar’.
There is no doubt that much of the grapevine dispatches were the result of a desire by some to find positions on a board, rather than do what is best for the union and its clubs.
It is the potential remuneration that comes with these lofty positions that may well be clouding people’s judgements.
No doubt it all will come to a head on Friday.

CAPE TOWN – Marco Masotti of MVM Holdings says that they wish to “retract everything that was communicated through the media over the last four months”.
In a statement released by the Western Province Rugby Union on Saturday, it was confirmed that the WPRFU met with the American investment consortium to continue to negotiate a proposed deal that has been under discussion for the past four months.
New Chairman of Western Province Professional Rugby, Ebrahim Rasool, and WP Rugby president, Zelt Marais met with Masotti, head of MVM consortium, and Michael Yormark, President of Roc Nation, who is also a member of the consortium.
Over the last few months, there have been various critical media reports towards WP quoting Masotti, with some accusing Marais of being ‘self-serving’ and stating that MVM Holdings could walk away from the deal unless there is a willingness to cede majority control.
On the meeting, Marais said: "We had a very productive meeting of the minds and cleared up all the misunderstandings we had before. WPRFU agreed a negotiations framework with
MVM that is based on mutual respect and appreciation. We are pursuing an investment partner that will help us to strengthen Western Province Rugby and make it the leading global brand that retains and attracts the best talent."
Masotti added: "The outcome of last night’s meeting was very positive, and we are happy to be continuing our negotiations.
“We are confident that we can reach an amicable deal that serves the best interest of all parties – including the players, the fans, the clubs and the broader community. Most importantly, we are working towards a true partnership with the WPRFU so we can leverage our investment and our expertise to further develop a fantastic global brand.

All trolling aside: astute businessmen have tried and failed to make deals happen and work with WP Rugby. I wonder if MVM will back down from their 51% holding in the Union? Or will the clubs that control the WP allow them to be dictated to?
In all honesty I can see a short term solution, but as soon as MVM flex their muscles the clubs will revolt and MVM will take their money and go.
Pity that they don't invest the $6 million into the Cheetahs and Grey College. A match made in heaven.

Eish, it seems to be going from bad to worse.Western Province Rugby Football Union President Zelt Marais may be reluctant to elaborate, but it has emerged that a change of attorneys is at the heart of their sudden about-turn in the aeonian and mutable Newlands redevelopment saga.
Marais, earlier this week, confirmed to @rugby365com that the agreement with property developers Flyt is with their “legal counsel” for review.
“The bottom line for WPRFU – as per resolutions passed by the shareholders – is that the deal must not only be equal, but also be fair and equitable,” Marais told this website.
He declined to elaborate, saying “WPRFU is of the view that it is not ethical to discuss matters of a confidential nature it the media, as it effectively amounts to not only a serious breach of contract, but also to a breakdown of trust.”
However, @rugby365com has learnt that not only is WPRFU planning to change ‘partners’ yet again – it would be the third time in less than a year – but they have already changed their ‘legal council’.
After walking away from agreements (which included loans) with Remgro and Investec, WPRFU dropped Smith Tabata Buchanan Boyes (the Blouberg-based company that represented them throughout the negotiations and finalisation of the term sheet and loan agreement with Flyt) like a hot potato.
Korbers Inc, a legal firm operating out of Cape Town central, is now acting on behalf of the union and sent a letter to Flyt – claiming the Newlands and Brookside properties were ‘undervalued’ in the agreement and should be valued between ZAR377-million and ZAR390-million, rather than the ZAR112-million of the agreement.
Zane De Decker, Managing Director of Flyt Property Investments, confirmed they had received a letter from WPRFU’s ‘new’ attorneys.
However, he is standing firm on the original deal.
“A binding and enforceable agreement was finalised and approved at a Special General Council meeting of the WPRFU that took place on 8 July 2020,” De Decker told @rugby365com.
“This was the final step in a legally sound and transparent approval process that included all required resolutions.
“Specifically, the deal was considered in detail and approved via vote at separate meetings held by the WPRFU structures of the executive committee, council and its trustees – after receiving independent professional advice.
“This comprehensive approval process was also independently certified by the WPRFU’s own auditors, BDO.”
The Flyt boss was at pains to stress that WPRFU had approached his company, not the other way round, seeking the loan of ZAR112-million – which was used to pay off two other loans.
“The deal was agreed to in various WPRFU forums by an ‘overwhelming majority’ and the entire process was overseen by the WPRFU’s [then] legal team, its auditors and its professional advisory team,” De Decker told this website.
He added that Flyt has met all its conditions to date, including the payment of the ZAR112-million.
“We’re confident that our legal rights are sound and our legal team is further contemplating the letter received from WPRFU’s latest attorneys.”
* Meanwhile Ronald Bantom returned to the executive leadership of WPRFU.
The Union held a by-election on Monday to select an additional member for a vacancy on the executive committee, left by Kevin Kiewitz – who resigned earlier this year, in protest of the decision to walk away from an agreement with Investec.
Bantom, who was prevented from contesting the vice-presidency position at its 2018 annual general meeting, beat off the challenge of three other candidates – Ralphton Adams, Romeo Adams and Shamila Sulayman.
Insiders say Bantom won the popular club vote against his closest rival, Sulayman – the latter an Ebrahim Rasool ally.
The election may suggest there is a groundswell of discontent in the club ranks.

Let's be honest. Jake White is the real deal. He brought us the 2007 RWC and laid the foundation for Rassies RWC with his tactics. He took the Bulls from being completely rubbish to a very professional and competent unit that can compete with the best franchises in the world. Other than possibly the Sharks we do not have another franchise that we can comfortably send North or South and that can seriously challenge or beat franchises in those hemispheres. From a nothing start when he took over. To compare any of our other coaches to him is laughable. The proof is in the pudding. JW took old hands and gave them the passion and determination to succeed. He took Van Zyl and made him look like nothing Rassie could get out of him. In the process our former number 2 Herschel looks like a plonker and got dropped from the Stormers team to get his head right. JW took a lighty in Chris and made him look a champion in the process destroying Willemse's reputation. REACTION: The Western Province Rugby Football Union is willing to fight tooth and nail to retain their most prized asset.
In the light of a growing stream of media reports that Marco V Masotti’s American consortium, MVM Holdings, is beginning to court the Sharks for a partnership, WPRFU President Zelt Marais responded in mulish fashion.
Reports have suggested negotiations between the MVM group and WPRFU – over a controlling share of the union’s professional arm, Western Province Professional Rugby – have stalled.
The two parties – WPRFU (represented by union President, Marais, Ebrahim Rasool, Chairman of the board of WPPR, and Danny Jones, General Manager, WP Amateur Rugby) and MVM (represented by the South African-born-and-bred American lawyer Masotti and Michael Yorkman, Roc Nation President) – met twice in mid-November.
The sugar-coated, yet contentious, statement that followed suggested it was full steam ahead with talks.
However, in recent weeks several unofficial dispatches suggested there has been no contact between the two groups since.
In fact, more and more reports suggested MVM has started talks with Sharks officials.
The latest reports (or rumours, if you want) suggested that Kolisi – whose affairs are being managed by the Roc Nation group – could be lured to the Sharks.
There have been several reports/rumours that a number of the Stormers’ senior players are unwilling to negotiate contract extensions beyond next year’s British and Irish Lions tour, because of the uncertainty over the MVM deal.
Marais remained adamant that Kolisi will not depart from his Cape Town base.
“Siya Kolisi is going nowhere,” the WPRFU boss told @rugby365com, when asked about the latest developments.
“Western Province has invested heavily in Siya Kolisi – possibly more than any other player – over the years, since [his] Under-19 [days] and is committed to keeping Siya Kolisi at least until the 2027 World Cup.”
Marais was unwilling to elaborate or answer other questions around the MVM deal.
However, recent reports suggested MVM consortium may well take their offer to the Durban-based Sharks.
How far the talks with the Sharks have progressed is uncertain, but as the saying goes: ‘Where there is smoke, there is fire.’
The big sticking point between WPRFU and MVM is the Americans’ demand to have a controlling share (51 percent) of the company (WPPR).
There are also reports emerging that Marais had attempted to charge Masotti US$10,000 for a tour of the Cape Town Stadium.
Marais was unwilling to answer questions or deny, that this was the case.
@rugby365com‘s enquiries suggested Masotti may well have declined to pay WPRFU for the right, with the city of Cape Town the entity that controls the rights for such expeditions.
